Agency OS Addendum

Kliqbot™ Agency OS Addendum

This Agency OS Addendum (“Addendum”) applies to agencies that use Kliqbot™’s Agency OS plan (“Agency” or “you”). It forms part of and is incorporated into the Kliqbot™ Terms of Service (Version 1.3).

By using the Agency OS plan, you agree to the terms of this Addendum in addition to the main Terms of Service.

1. Definitions

  • “Agency” means the organization using the Agency OS plan to manage Google Ads accounts on behalf of its clients.
  • “Client” means a third-party advertiser whose Google Ads account is managed by the Agency through the Kliqbot Platform.
  • “Client Account” means a Google Ads account belonging to a Client that is connected to the Agency’s Kliqbot organization.
  • “Main Terms” means the Kliqbot Terms of Service (Version 1.3).

2. Agency’s Authority and Warranties

You represent and warrant that:

  • You have obtained all necessary authority, consents, and permissions from each Client to connect their Google Ads account(s) to the Kliqbot Platform and to manage their advertising on their behalf.
  • You have the legal right to grant Kliqbot access to each Client’s Google Ads data and to authorize Kliqbot to perform actions (including mutations) on those accounts.
  • Each Client has been informed of and has agreed to Kliqbot’s Privacy Policy and the processing of their data as described therein.
  • You will maintain accurate and up-to-date records of Client authorizations.

You are solely responsible for any claims arising from your failure to obtain proper Client authorization.

3. Client Data Isolation and Confidentiality

  • Each Client Account is treated as a separate tenant within the Kliqbot Platform.
  • Kliqbot maintains logical separation between different Clients’ data.
  • You agree not to access, view, or export data belonging to a Client Account unless you have authorization from that Client.
  • You are responsible for maintaining the confidentiality of all Client data accessible through your Agency OS account.

4. Compliance Obligations

As an Agency, you are responsible for ensuring that:

  • All advertising campaigns, ad copy, targeting, and landing pages created or managed for Clients comply with Google Ads policies and all applicable laws.
  • You do not use the Platform to manage advertising for prohibited sensitive verticals on behalf of any Client. Prohibited sensitive verticals include: gambling / casinos / sports betting; adult content / sexual entertainment; cannabis / marijuana dispensaries; firearms / weapons dealers; political campaigns / PACs; addiction treatment / rehab facilities; bail bonds / payday loans / debt collection.
  • Each Client’s advertising activities comply with applicable advertising, consumer protection, and data privacy laws in the jurisdictions where their ads are shown.

Kliqbot reserves the right to suspend or terminate access to any Client Account that violates Google Ads policies or applicable law.

Kliqbot’s three-tier autonomy model (described in Section 5 of the Main Terms) applies to all Client Accounts. Agencies remain responsible for managing Client approvals for Tier 3 actions.

5. Billing and Payment

  • Billing under the Agency OS plan is based on the number of active Client seats.
  • You are responsible for all fees associated with active Client Accounts, regardless of whether the Client ultimately pays you.
  • You remain responsible for payment even if a Client Account is paused or disconnected.
  • Kliqbot may adjust billing based on the actual number of active Client seats at the start of each billing cycle.

6. Client Onboarding and Management

You are responsible for:

  • Properly onboarding each Client into the Kliqbot Platform.
  • Configuring Client budgets, settings, and permissions accurately.
  • Managing Client approvals for Tier 3 actions (budget changes, new keywords, etc.).
  • Communicating with Clients regarding campaign performance and changes.

Kliqbot provides tools to support multi-client management but does not assume responsibility for your client relationships or communications.

7. Liability and Indemnification

In addition to the indemnification obligations in the Main Terms, you agree to indemnify and hold Kliqbot harmless from any claims, damages, or liabilities arising from:

  • Your failure to obtain proper Client authorization.
  • Any dispute between you and your Clients.
  • Advertising content or campaigns you create or approve for Clients.
  • Your violation of Google Ads policies or applicable law in connection with Client Accounts.

8. Termination and Client Data

  • If you terminate your Agency OS subscription or disconnect a Client Account, Kliqbot will pause the associated campaigns (where technically possible).
  • Upon termination, you remain responsible for exporting any Client data you require before the account is fully closed.
  • Kliqbot will handle Client data in accordance with the Data Processing Addendum upon termination.

9. Relationship to Main Terms

This Addendum supplements the Main Terms of Service. In the event of any conflict between this Addendum and the Main Terms, this Addendum shall control with respect to Agency OS usage.

All other terms of the Main Terms of Service remain in full force and effect.

By using the Agency OS plan, you acknowledge that you have read, understood, and agree to this Agency OS Addendum.
