These Terms of Service (“Terms”) govern your access to and use of the Kliqbot™ platform, including the dashboard at kliqbot.com, generated landing pages at kliqpages.com, and all related services (collectively, the “Platform” or “Service”).
Kliqbot LLC (“Kliqbot,” “we,” “us,” or “our”) provides an all-in-one Google Ads automation platform. By creating an account, connecting a Google Ads account via OAuth, or using the Platform in any way, you agree to these Terms. If you do not agree, do not use the Platform.

1. Acceptance of Terms and Related Documents
By using the Platform, you agree to these Terms, our Privacy Policy, Performance Disclaimer, Data Processing Addendum, Agency OS Addendum (if applicable), and Exhibit E – AI Acceptable Use Policy & Disclaimers.
If you are using the Platform on behalf of an organization or as an agency, you represent that you have authority to bind that organization or its clients to these Terms.
2. Description of the Service
Kliqbot provides automated tools to analyze websites, generate and optimize Google Ads campaigns and landing pages, track calls and leads, and deliver reporting. The Platform includes two main plans: Command (for businesses managing their own advertising) and Agency OS (for agencies managing multiple client accounts).
3. Accounts, Registration, and Google Ads Integration
You must create an account and provide accurate information. You are responsible for maintaining the confidentiality of your account credentials.
Google Ads OAuth Connection
To use core features, you must authorize Kliqbot to access your Google Ads account (or your clients’ accounts) via Google OAuth. You may revoke this authorization at any time through Google or the Kliqbot dashboard.
Upon revocation (“Disconnect”):
- We immediately cease API access.
- All active campaigns are automatically paused for safety.
- You retain the ability to export historical data for a reasonable period.
You remain the owner and controller of your Google Ads account and all advertising spend.
3.4 Account Ownership, Authorization & Disputes (NEW in v1.3)
The named Tenant or Organization that created the Platform Account or to which the Google Ads OAuth connection is linked is the owner of the account for operational purposes.
In the event of any dispute regarding account ownership, authorization, or control (including disputes between an agency and its client, co-owners, or former employees), Kliqbot may request documentation to verify ownership or authority. Relevant factors Kliqbot may consider include:
- Payment history via the billing method on file (Autumn records)
- Original account creation records and OAuth authorization grants
- Verifiable legal documentation (articles of incorporation, operating agreements, court orders, or written authorizations)
- Any other information Kliqbot reasonably deems relevant
Kliqbot reserves the right, in its reasonable discretion, to suspend access to the Platform Account or specific Client Accounts during the pendency of any good-faith ownership or authorization dispute. Kliqbot’s determination regarding operational access shall be final for purposes of the Platform. You agree to indemnify, defend, and hold Kliqbot harmless from any claims, damages, or liabilities arising from Kliqbot’s good-faith handling or resolution of any such dispute.
4. Plans, Billing, and Payment
Subscription plans, metered usage, one-off products (including Concierge Setup), and add-ons are as described on the Platform and in our current pricing documentation. Subscriptions automatically renew monthly. You authorize us to charge your payment method for all fees. Fees are non-refundable except as required by law. You are responsible for applicable taxes.
5. Three-Tier Autonomy Model, Advertiser Control, and Spend Protection
Kliqbot uses AI to assist with campaign optimization, but you retain ultimate control over your advertising spend and major decisions.
5.1 Three-Tier Autonomy Model
We operate under the following graduated autonomy model:
- Tier 1 (Always Autonomous): Protective actions that can only reduce or protect spend (e.g., pausing underperforming keywords, adding negative keywords, fraud IP exclusions). These run automatically and are logged in the Audit Trail.
- Tier 2 (Bounded Autonomy): Routine optimizations within limits you configure. Changes exceeding your guardrails automatically become Tier 3 proposals requiring your Approval.
- Tier 3 (Always Requires Approval): High-impact actions that could increase spend or change campaign structure (budget changes, new keywords in live campaigns, enabling new ads, campaign activation). These require your explicit Approval in the dashboard. Proposals include clear reasoning and projected impact; nothing executes until you Approve. Unapproved proposals expire after 72 hours.
You can adjust autonomy settings and require Approval for additional categories at any time.
5.2 No Surprise Spend Guarantee
Kliqbot’s architecture and the three-tier autonomy model are specifically designed to prevent surprise spend. No spend-increasing action occurs without your explicit Approval. The AI cannot “optimize” your budget higher or activate campaigns without your affirmative action in the dashboard.
5.3 Budget Integrity
Kliqbot spends exactly the budget you set. The AI is architected not to increase your advertising spend or make structural changes without your Approval. An emergency spend protection circuit breaker automatically pauses campaigns if daily spend significantly exceeds your configured budget. This is a protective safeguard only and requires your Approval to resume.
5.4 Transparency and Audit Trail
Every AI recommendation and executed action is recorded in plain English in an immutable Audit Trail visible to you in the dashboard, showing what changed, why, when, before/after values, and estimated cost impact.
5.5 Locked Entities and Human Oversight
Any item you manually edit is “locked.” The AI will never override it. You remain the final decision-maker for all spend-impacting actions.
6. Acceptable Use Policy
You agree not to use the Platform to:
- Advertise prohibited sensitive verticals, including: gambling / casinos / sports betting; adult content / sexual entertainment; cannabis / marijuana dispensaries; firearms / weapons dealers; political campaigns / PACs; addiction treatment / rehab facilities; bail bonds / payday loans / debt collection.
- Violate Google Ads policies or applicable laws.
- Circumvent the three-tier approval model, spend controls, or approval gates.
- Upload misleading or deceptive content.
- Abuse the Platform, reverse engineer it, or share credentials.
We may suspend or terminate accounts that violate this policy. Kliqbot reserves the right to refuse service to any business in a prohibited sensitive vertical.
7. User Obligations
7.1 You are responsible for the accuracy of all business information, website content, and Google Ads data you provide or authorize.
7.2 You are solely responsible for ensuring that your ads, targeting, landing pages, and campaign content comply with Google Ads policies and all applicable laws.
7.3 Call Recording and Intelligence. Where you enable call recording, transcription, or AI classification, you are solely responsible for complying with all applicable laws in the jurisdictions where your business operates, including obtaining any required caller consents or providing required notices. Kliqbot provides the technical tools; you bear full compliance responsibility.
7.4 Communications, Call Tracking, Recordings & Regulatory Compliance (NEW in v1.3)
Kliqbot is solely a technology platform and communications infrastructure provider. Kliqbot does not initiate, create, send, or control the content, timing, or recipients of any calls, leads, form submissions, or communications. You (or your Client under the Agency OS plan) are the sole “initiator,” “sender,” “advertiser,” and “telemarketer” for all legal and regulatory purposes.
You are exclusively responsible for compliance with the Telephone Consumer Protection Act (TCPA), Telemarketing Sales Rule (TSR), all state mini-TCPA and do-not-call laws, call recording consent statutes in every jurisdiction where calls are placed or recorded, carrier rules (including 10DLC), Canada’s Anti-Spam Legislation (CASL), and all other applicable marketing and communications laws. You represent and warrant that you have obtained all required consents, provided all required notices (including caller notices for recording), and will maintain accurate, auditable records of such consents and compliance. These obligations survive termination or Disconnect.
Kliqbot disclaims all liability for the content, legality, timing, or regulatory compliance of any communications transmitted through the Platform.
7.5 Data Subject Rights Management (NEW in v1.3)
You are solely responsible for receiving, documenting, responding to, and fulfilling all data subject rights requests (access, deletion, correction, portability, restriction of processing, objection, etc.) from your leads, callers, website visitors, and end users in accordance with applicable privacy laws (including GDPR and CCPA/CPRA). You must maintain appropriate procedures and respond within required timeframes. If Kliqbot receives any such request directly, Kliqbot may redirect it to you at the contact information on file for the Tenant. You agree to indemnify, defend, and hold Kliqbot harmless from any claims, damages, fines, or liabilities arising from your failure to properly handle data subject rights requests.
8. Disclaimers
Performance Disclaimer
Kliqbot does not guarantee any specific results, including number of leads, cost-per-lead, ROAS, Quality Score, or conversion rates. Results depend on many factors outside our control. See our full Performance Disclaimer (incorporated herein by reference) for details.
8.2 AI Features (NEW cross-reference in v1.3)
Your use of AI features is subject to Exhibit E – AI Acceptable Use Policy & Disclaimers in addition to the Performance Disclaimer and the three-tier autonomy model described in Section 5. AI-generated content (landing pages, ad copy, keywords, call classifications) is assistive only and requires your review and, where applicable, explicit Approval before use or activation.
AI and General Disclaimers
The Platform uses AI and automation as assistive tools. Generated content should be reviewed before use. The Platform is provided “as is” without warranties of any kind.
9. Limitation of Liability
To the maximum extent permitted by law, Kliqbot’s total liability shall not exceed the fees paid by you in the twelve (12) months preceding the claim. Kliqbot shall not be liable for indirect, incidental, special, consequential, or punitive damages, including lost profits or lost revenue (especially those arising from advertising performance).
10. Indemnification
You agree to defend, indemnify, and hold Kliqbot harmless from claims arising out of your use of the Platform, your Google Ads campaigns, ad content, landing pages, violation of these Terms, or violation of applicable law (including call-recording laws).
11. Termination and Suspension
You may cancel your subscription or Disconnect your Google Ads account at any time. Upon Disconnect, campaigns are automatically paused. We may suspend or terminate your account for violation of these Terms or non-payment.
12. Google Ads Specific Provisions
You acknowledge that all management of your Google Ads account is subject to Google’s terms. You are responsible for all spend you authorize. Kliqbot performs mutations only within the three-tier approval model or as protective Tier 1 actions.
13. Agency OS Specific Provisions
If you use the Agency OS plan, the Agency OS Addendum (incorporated herein by reference) applies in addition to these Terms. In the event of conflict, the Agency OS Addendum controls with respect to Agency OS usage.
14. Privacy
Your use of the Platform is subject to our Privacy Policy, which describes how we collect, use, and protect personal information.
15. Data Processing Addendum
Kliqbot’s Data Processing Addendum (attached as Schedule B) forms part of these Terms and applies to the processing of Personal Data. By accepting these Terms, you also agree to the Data Processing Addendum.
16. Modifications to Terms
We may update these Terms from time to time. We will provide notice of material changes. Continued use after the effective date constitutes acceptance of the updated Terms.
17. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any disputes shall be resolved exclusively in the state or federal courts located in Delaware.
18. Miscellaneous
- Entire Agreement: These Terms, together with the Privacy Policy, Performance Disclaimer, Data Processing Addendum (Schedule B), Agency OS Addendum, Exhibit E – AI Acceptable Use Policy & Disclaimers, and any other documents expressly incorporated by reference, constitute the entire agreement between the parties.
- Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
- No Waiver: Failure to enforce any right does not constitute a waiver.
- Assignment: You may not assign these Terms without our prior written consent.
- Export Compliance: You represent that you are not located in a country subject to U.S. embargo and are not on any denied party list.
19. Promotional Offers (Founding 50)
The first 50 qualifying customers may be eligible for a 25% discount on the base subscription price for the first 12 billing cycles on eligible products only (Command plan, Agency OS plan, and initial Concierge Setup). Eligibility is determined by Kliqbot in its sole discretion, subject to a sequence cap, and is non-transferable. The discount applies only to base recurring subscription fees and does not apply to metered usage, one-off products (except initial Concierge Setup), or add-ons. Full terms are available upon request or in your onboarding materials.
20. Limitation on Time to File Claims (NEW in v1.3)
ANY CAUSE OF ACTION OR CLAIM YOU MAY HAVE ARISING OUT OF OR RELATING TO THESE TERMS, THE PLATFORM, OR ANY AI OUTPUT MUST BE COMMENCED WITHIN TWELVE (12) MONTHS AFTER THE EVENT GIVING RISE TO THE ACTION OR CLAIM OCCURRED (OR, IF LATER, AFTER YOU KNEW OR REASONABLY SHOULD HAVE KNOWN OF THE FACTS GIVING RISE TO THE CLAIM); OTHERWISE, SUCH CAUSE OF ACTION OR CLAIM IS PERMANENTLY BARRED.
